Welcome to TrueTime Health. These Terms of Service (“Terms”) govern your access to and use of the TrueTime Health platform located at https://truetime.health (the “Platform”), operated by TrueTime Health, Inc., a Delaware C-Corporation (“TrueTime Health,” “we,” “us,” or “our”).

By creating an account, submitting information, or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree, you may not access or use the Platform.

These Terms apply to all users of the Platform, including patients, family members, caregivers, healthcare consultants, referral sources, and healthcare agency personnel.

About the Platform

TrueTime Health provides eligibility and compliance infrastructure for healthcare at home. The Platform enables users to submit documentation, receive compliance reviews through a combination of proprietary extraction technology (“TrueTime Extraction”), clinical logic engine (“TrueTime Wisdom”), and human-verified review, generate clearance records, and — with appropriate consent — route eligible cases to healthcare agencies.

Services include but are not limited to: intake and eligibility verification, pre-claim review (PCR), additional documentation request (ADR) defense, survey readiness reviews, chart reviews, quality assurance (QA), coding review, quality assurance performance improvement (QAPI), discharge readiness, authorization and benefit verification, and TrueTime Intel (document intelligence).

Important Notice

TrueTime Health is an eligibility and compliance infrastructure platform. We do not provide medical diagnoses, treatment recommendations, or clinical care. All clearance records and compliance reviews are informational only and do not constitute medical advice, coverage determinations, or reimbursement guarantees. Always consult a qualified healthcare professional for medical decisions. Final admission, authorization, and billing decisions rest with healthcare agencies and payers.

Eligibility and Account Registration

To use the Platform, you must be at least 18 years of age and capable of entering into a legally binding agreement. By registering for an account, you represent and warrant that:

  • All information you provide is accurate, current, and complete
  • You will maintain and promptly update your account information
  • You are responsible for safeguarding your login credentials
  • You will notify us immediately of unauthorized access or use

If you submit information on behalf of another person, you represent that you have the legal authority or consent to do so.

We reserve the right to suspend or terminate accounts that violate these Terms, contain fraudulent information, or pose risk to the Platform or other users.

User Roles and Responsibilities

Patients and Family Members

  • You are responsible for the accuracy and completeness of submitted information
  • Clearance records and compliance reviews depend on available documentation at the time of review
  • Routing to agencies requires explicit consent, which may be withdrawn at any time

Healthcare Consultants

  • Consultants must maintain all required professional credentials
  • Consultants exercise independent professional judgment regardless of automated extraction or clinical logic outputs
  • All clearance records are human-verified; consultants may override any automated outputs

Healthcare Agencies

  • Agencies must independently verify eligibility and clinical appropriateness before care
  • Clearance records and compliance reviews are informational tools, not substitutes for agency intake, compliance, or admission workflows
  • Agencies are responsible for compliance with all licensing, accreditation, and payer requirements
  • Agencies retain full responsibility for final admission, billing, and discharge decisions

Referral Sources

  • Referral sources must have appropriate authorization or consent
  • Referral sources are responsible for submission accuracy

Services and Fees

TrueTime Health offers eligibility and compliance services including intake and eligibility verification, pre-claim review, ADR defense, survey readiness, chart reviews, QA, coding, QAPI, discharge readiness, authorization and benefit verification, clearance record generation, consultation services, care coordination, and document intelligence (TrueTime Intel).

Services are available on a pay-as-you-go basis or through monthly membership plans. Membership agencies receive volume discounts and priority turnaround.

All fees are displayed before transaction completion. Payments are processed through third-party processors subject to their own terms.

We reserve the right to modify pricing prospectively.

Fee Clarification

TrueTime's fees are for information verification, document review, and clinical compliance services — not for referrals. If an agency receives a referral from a physician's office or other referral source, that is the agency's referral. Engaging TrueTime is for documentation review and clearance record generation, not for referral generation or routing incentives. This distinction is explicitly stated in applicable service agreements.

Refund Policy

Refunds are generally unavailable once professional review has begun. Discretionary refunds may be issued for:

  • Technical failures preventing service delivery
  • Duplicate or erroneous charges
  • Services not rendered due to circumstances within our control

Refund requests must be submitted to admin@truetime.health within thirty (30) days.

Intellectual Property

All Platform content, functionality, software, and proprietary technologies — including TrueTime Extraction, TrueTime Wisdom, TrueTime Intel, and branding — are owned by or licensed to TrueTime Health and protected by applicable law.

You may not:

  • Copy, modify, distribute, or reverse engineer Platform components
  • Use branding without prior written consent
  • Use automated scraping or data harvesting tools

You retain ownership of submitted content. You grant TrueTime Health a limited, non-exclusive license to process such content solely to provide services in accordance with these Terms and our Privacy Policy.

Prohibited Uses

You may not use the Platform to:

  • Submit false or fraudulent information
  • Impersonate others or misrepresent authority
  • Interfere with Platform security or operations
  • Violate applicable laws or regulations
  • Transmit malware or harmful code
  • Facilitate healthcare fraud or improper referrals

We reserve the right to investigate violations and take appropriate action, including termination and reporting to authorities.

Disclaimers

No Medical Advice

Nothing on the Platform constitutes medical advice, diagnosis, or treatment.

No Guarantee of Eligibility, Acceptance, or Reimbursement

Clearance records and compliance reviews do not guarantee:

  • Acceptance by a healthcare agency
  • Provision of services
  • Coverage or reimbursement by any payer
  • Successful survey or audit outcomes

Final decisions rest solely with agencies and payers.

Regulatory Change Disclaimer

Compliance reviews and clearance records reflect applicable regulatory, payer, accreditation, and coverage criteria in effect at the time of review. Subsequent changes in laws, regulations, accreditation standards, or payer policies may affect outcomes.

HIPAA and Data Handling

TrueTime Health operates as a healthcare technology platform and handles protected health information (“PHI”) as applicable under HIPAA. Our obligations and safeguards are described in our Privacy Policy and, where required, applicable Business Associate Agreements.

Platform Provided “As Is”

The Platform is provided “as is” and “as available,” without warranties of any kind. We do not guarantee uninterrupted, error-free, or secure operation.

Limitation of Liability

To the maximum extent permitted by law, TrueTime Health shall not be liable for indirect, incidental, special, consequential, or punitive damages.

Our total aggregate liability shall not exceed the greater of:

  • Amounts paid by you in the twelve (12) months preceding the claim, or
  • $100.00

Indemnification

You agree to indemnify and hold harmless TrueTime Health from claims arising from:

  • Your use of the Platform
  • Submitted content or documentation
  • Legal or regulatory violations
  • Disputes between you and third parties

Dispute Resolution

Informal Resolution

Contact admin@truetime.health before initiating formal proceedings.

Binding Arbitration

Disputes shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

Venue: State of Delaware. Governing Law: Delaware law.

Class Action Waiver

Disputes must be brought individually. Class and representative actions are waived.

Injunctive Relief

Either party may seek injunctive relief for intellectual property or confidentiality violations.

Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

Third-Party Services

The Platform may integrate with third-party services. Use of such services is governed by their respective terms. TrueTime Health is not responsible for third-party availability or content.

Modifications to Terms

We may update these Terms periodically. Continued use after updates constitutes acceptance.

Termination

You may terminate your account at any time. We may suspend or terminate access if Terms are violated or risk is posed.

Provisions that should survive termination shall remain in effect.

Severability

If any provision is unenforceable, the remainder shall remain in full force.

Entire Agreement

These Terms, together with our Privacy Policy and any supplemental agreements, constitute the entire agreement between you and TrueTime Health.
